This website and shop trades under the name The Cinema Society (referred to as “TCS”) and is owned and managed by SPARK Marketing Services Ltd. Hereby referred to as ('SPARK') in these terms and conditions. TCS is not accessible to the general public. Access is restricted to individuals who are employees or members of businesses or organisations with whom SPARK has agreed to work (each a “Client”), and who are eligible in accordance with the ELIGIBILITY AND ACCESS section below.
  
Abbreviations used in these Terms and Conditions. 
·       SPARK – SPARK Marketing Services Ltd 
·       The User – The person using the website. 
·       The Purchaser – The person who is placing an order via the website. 
·       The Client – The business or organisation with whom SPARK has agreed to make TCS available to its employees or members. 
·       Client Site – the website, intranet or app operated by a Client through which a user may access TCS via a secure single sign-on (SSO) link.
  
ELIGIBILITY AND ACCESS

TCS is a closed platform. It is not available to members of the public. Access is restricted to individuals who are part of a closed user group with which SPARK is working – typically employees of a Client, or members or customers of a Client (for example members of a gym or charity).
  
There are two ways in which an eligible individual may access TCS: (a) by registering directly with SPARK using a secure registration link or code provided by, or on behalf of, the relevant Client; or (b) automatically, via a secure single sign-on (SSO) connection between a Client Site and TCS, which allows an eligible individual to access TCS without completing a separate registration step.
  
An individual's continued ability to use TCS depends on their continued relationship with the relevant Client (for example, continued employment or membership). SPARK reserves the right to suspend or terminate a user's access to TCS, without liability to SPARK, where SPARK becomes aware that the user is no longer eligible, or where the agreement between SPARK and the relevant Client comes to an end.
  
Access to TCS, and any username, password or SSO credential associated with it, is personal to the individual and must not be shared with, or used on behalf of, any person who is not themselves eligible to use TCS. 
SPARK operate multiple different versions of The Cinema Society according to each individual clients needs and strategy.  While the user experience may differ from client to client, the underlying workings of the website are the same and the products that may be purchased by members are common. 

USING THE WEBSITE AND REGISTERING
 
SPARK grants the purchaser a licence to access and use this website, but prohibits the use for commercial purposes of any of the content, nor to collect or store any of the product descriptions, images or prices, either manually or using systematic data-mining or data gathering techniques without the express written permission of SPARK.
  
All of the content on the website is the property of SPARK and enjoys the full protection of UK and international copyright law.
 
Where you access TCS by registering directly with us, our website gives you the option of registering a username and password. Where you access TCS via a secure single sign-on (SSO) link from a Client Site, your identity is confirmed by the relevant Client and no separate TCS password is required. In either case, it is the user’s responsibility to keep their username, password and/or access to the Client Site confidential. SPARK are unable to verify the identity of website users and cannot be liable for any actions resulting from another user other than yourself using your confidential details or your access to the Client Site except to the extent that such use results from SPARK's own failure to maintain adequate security of its systems.
  
SPARK may use the cookie functionality in your web browser to store information and improve the website experience. If you have concerns about our use of cookies, or any other technical aspect of the site, please contact SPARK via the website.
  
PRODUCTS 

The products contained within the website and made available for sale by SPARK are e-codes each of which are valid in exchange for services supplied by our suppliers who are typically cinema companies. 
These services may include tickets (to see movies), food and drink or memberships or other services supplied by our cinema suppliers. 
Each of the products we offer are subject to their own terms and conditions of use and validity such as the services that they may be exchanged for or the length of time that they are valid for. 
The terms and conditions relating to the specific products that we make available are listed alongside the description of the product (or may be seen via a link) and by purchasing the products a member accepts the terms and conditions relating to the product. 
 
PRICE GUARANTEE 

SPARK recognises the trust that customer’s put in us to sell the products at discounted rates.  The sheer number of different prices that cinema tickets are sold at by cinemas means that on occasion customers may find it would have been cheaper to buy tickets directly from the cinema than through TCS. 
Where this occurs, the customer should contact TCS via the contact us form with their TCS order number and the details of the cinema they visited and price they would have paid directly. 
Where it is beyond reasonable doubt that the customer has used the vouchers to pay for tickets that would have been cheaper to purchase directly from the cinema, SPARK shall refund the difference in value plus an additional 10% subject to the terms and conditions of our price guarantee: 
  1. The promoter of The Cinema Society Price Guarantee is: SPARK Marketing Services Ltd, whose registered office is at The Old Sawmills, Filleigh, Barnstaple, EX32 0RN. 
  2.  The Price Guarantee is open to registered members of The Cinema Society only. 
  3.  If members have made a purchase through The Cinema Society and find that it would have been cheaper to buy their cinema tickets directly with the cinema, we shall refund the difference of what you paid to us and 10% off the direct cinema price (the “Price Guarantee amount”)  
  4.  The Price Guarantee is only available to claim if the member has redeemed their vouchers for the screening they are claiming against and provide the proof of booking from the cinema. 
  5.  To apply, email priceguarantee@wearespark.com with your Cinema Society order reference number, the voucher codes used in this booking, the exact details of the film you have booked, plus a photo/screenshot of your cinema booking receipt and a screenshot of the cinema’s website clearly showing the location, film, date/time with the ticket prices if purchased direct. 
  6.  The film details booked using the vouchers and the film details claimed against must match for the claim to be valid. 
  7.  Members must apply within 14 days of their booking at the cinema.  
  8.  The Price Guarantee excludes: 
    • Any “special price” or promotional days such as National Cinema Day, ‘Cineworld Day,’ Cineworld Big Screen Weekend or IMAX Film Fest with £3 tickets, Amazon's 2 tickets for £10, or days of the week which are discounted. 
    • Member only pricing, such as Cinesaver, Insider and myODEON Saver 
    • Special ticket pricing, such as an Adult & Child ticket for the price of 2 x Child, or Cineworld's Sunday Bundle for £10
    • Any offers supplied through third-party sellers such as Wowcher or Groupon
    • Showcase Family Film Tickets, with child tickets available for £3.99
    • Cineworld - M4J (Movies for Juniors) format 
    • IMC - Kids Club
    • Tickets bought with any other offer such as Meerkat Movies or CEA cards 
    • Special offers on annual passes such as Unlimited or My Limitless
  9. The funds shall be refunded back on to the bank card used to place your order with The Cinema Society and actioned within 2 working days. The funds should be showing in your account within 10 working days. 
  10.  The discount shall be calculated on an individual basis excluding any booking fee paid. 
  11.  Only one claim will be accepted per member during any 6-month period. 
  12. The Cinema Society reserve the right to ask for additional information needed to verify a claim, before the payout is made. 
  13. The Cinema Society reserves the right to make discretionary payments to members outside of the terms of the Price Guarantee at its own discretion.
  14.  The Cinema Society reserves the right to amend these T&C’s or withdraw the Price Guarantee at any time, save that no such change shall affect a claim already validly submitted before the change takes effect. 

PLACING AN ORDER ON THE WEBSITE

By placing an order through the website, the user is confirming they are at least 18 years of age and capable of entering into a legally binding contract under English law.

When an order is submitted to SPARK, that submission constitutes an offer to purchase goods from SPARK. On acceptance of the offer by SPARK, the purchaser’s contract and Statutory rights are with SPARK.

As the purchaser will have immediate access to downloadable, electronic or “softcopy” goods or other electronic services of immediate value, the purchaser may be required to accept these terms and conditions at checkout, waiving their right to a refund under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Once the order confirmation has been received, the order is non-refundable as the vouchers are digitally delivered and instantly available for use; the purchaser can view the codes on screen and shall also receive an email confirmation with their order. SPARK are not responsible in the event that the purchaser has selected the wrong voucher type or have simply changed their mind.

SPARK reserves the right to change the products and product prices from time to time and always aims to ensure that the website is as up to date as possible. In the unlikely event that a product is shown on the website at an incorrect price, SPARK reserves the right not to sell at the advertised price and will endeavour to contact the purchaser to ask if they wish to purchase at the correct price. If the purchaser confirms that they are happy to purchase at the correct price, that confirmation will constitute a new offer to SPARK.  If the purchaser does not wish to proceed at the corrected price, SPARK will cancel the order and refund in full any payment already taken.

SPARK are unable to guarantee the availability of any product at any time.

On the Website SPARK publish the “normal price” of the equivalent ticket that the vouchers we sell may be exchanged for.  Where these are listed specific to cinema (brand and location) the “normal price” is that of the equivalent ticket in “peak” hours (i.e. the equivalent of a Saturday night price) and for a newly released film, this is displayed as "Venue Price".  Where the “normal price” is attached to an entire cinema chain in its entirety this is the average of the peak price at those cinemas that the voucher is valid at, this is displayed as "Average Price".

The codes that we sell on our website are supplied to SPARK by the cinema companies whose name is communicated on the page that the codes are advertised upon. In order to make navigating the website manageable we publish basic information about each code.  There are links to the full terms and conditions of that particular cinema provider (and the codes) relating to the use of the codes. It is the responsibility of the purchaser to read those terms and conditions before placing an order for the codes, as the cinema provider govern how the purchaser will be able to use the codes.

SPARK make no guarantees that a particular cinema company shall participate in a particular version of The Cinema Society.  The cinema companies make commercial decisions to participate (or not) in a particular scheme based on their own commercial objectives and may join or leave a scheme as they see fit.

Vouchers are not valid for Event Cinema or special screenings including (but not limited to) Documentaries, NT Live, ROH Live, MET Live and Live Concerts. Please see voucher Terms & Conditions for more information.

It is essential that the purchaser only use the cinema vouchers for their own personal enjoyment and that of their friends and family. The discounted prices available through TCS are made available only because access to TCS is restricted to eligible members of a Client's closed user group, and the purchaser must not resell, transfer or otherwise make the vouchers, or their access to TCS, available to any member of the public or other person who is not themselves eligible to use TCS. If SPARK were to discover that the purchaser or anyone associated with the purchaser were selling the vouchers, sharing their access to TCS with an ineligible person, or otherwise breaking the conditions of sale, then SPARK may suspend or terminate that person's access to TCS and may be forced into taking further action against them.

PAYMENT

Payment on the website may be made via various means including Visa, MasterCard, Maestro, Maestro International, PayPal, GooglePay, ApplePay and Visa Electron.  SPARK reserves the right to alter payment options at any time.

SPARK charge customers' payment method at the time the order is placed. Our website does not allow the purchaser to order products which are out of stock which means that customers should only ever be paying for products which can be shipped immediately. Occasionally, however, the stock position shown on the website may be inaccurate and we might be unable to send a product shown as 'in stock' and for which the purchaser has paid. If this happens, SPARK will contact the purchaser to ask whether they would prefer to cancel the order and receive a refund or wait until stock becomes available.

Customer credit and debit cards are charged by SPARK in pounds sterling for purchases of UK usable vouchers or Euro’s for those that are usable in Ireland.


VAT

SPARK is required by law to charge Value Added Tax (VAT) on all its products where VAT is attributable.


LIMITATION OF LIABILITY

Nothing in this clause excludes or limits SPARK's liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or gross negligence by the company or its employees or restricts your statutory rights.

Subject to the above, SPARK will not be liable for:

i. any damage or loss suffered by the purchaser where such damage or loss was not reasonably foreseeable at the time of contract, including damage or loss resulting from a breach by SPARK of these Terms and Conditions

ii. any damage or loss suffered by the purchaser where they did not enter into a contract with SPARK as a consumer

SPARK's total liability to the purchaser for loss or damage arising out of their contract with the purchaser will be limited in respect of each claim to the purchase price of your order or orders.

SPARK will not be responsible for any breach of our contractual obligations if the breach arose out of an event beyond its control, including but without limitation: failure of infrastructure, government intervention, wars, civil commotion, virus outbreak, hijacking, fire, flood, accident, storm, strikes, lockouts, terrorist attacks or industrial action affecting either SPARK or its suppliers.

Upon receipt of your vouchers SPARK accepts no liability for any issues experienced upon your visit to the cinema or in the process of booking your cinema tickets. Should you experience poor service, physical harm or damage during your cinema visit then please take this up with the cinema concerned, any liability on SPARKs part can only be accepted in relation to providing valid vouchers to the purchaser.


PRIVACY

Please refer to our Privacy Policy which states how we use any personal data and other information which you provide to SPARK, or which SPARK receives from a Client in connection with your registration or your access to TCS via SSO.


ELECTRONIC COMMUNICATIONS

By using the SPARK website, the purchaser consents to receive communications from SPARK electronically and the purchaser accepts that all agreements, notices, disclosures and other communications that SPARK provide electronically satisfy any legal requirement that such communications be 'in writing'. For this purpose, the most recent email address which you have provided to SPARK will be deemed to be the correct email address for us to use. You may of course opt-out of any SPARK marketing messages at any time, please refer to the privacy policy which contains full information of how your data is used.


GENERAL

SPARK reserves the right to make changes to its website, policies, and Terms & Conditions from time to time. Changes will take effect once posted on the website and will not apply retrospectively to orders already placed or vouchers already purchased. Where a change is likely to be of material detriment to users, SPARK will use reasonable endeavours to bring it to their attention in advance.

If any of these Terms & Conditions are determined to be illegal, invalid or otherwise unenforceable by law, to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these terms, and the remaining Terms & Conditions shall survive, remain in full force and effect and continue to be binding and enforceable.
 
These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. If you are a consumer habitually resident in a country other than England and Wales, this clause does not deprive you of the protection of any mandatory consumer-protection laws of that country.
